The issue of a pro forma invoice by the seller is likewise considered an order confirmation. The seller is responsible for delivering the goods to the extent stated in the order confirmation. The order confirmation is binding.
III. Delivery time
Most goods are dispatched by the seller to the buyer’s address within 3–4 weeks of the seller’s order confirmation. The seller informs the buyer without delay of the date on which the order will be fulfilled.
The delivery date specified by the seller is approximate and not binding. The seller is entitled to deliver the goods before or after this date, and the buyer has no claim for any damage caused by earlier delivery of the goods or by a delay.
IV. Delivery terms
The order is binding on the buyer; it becomes binding on the seller to the extent stated in the order confirmation. If the seller cannot deliver all the goods the buyer has ordered, the seller is obliged to specify in the order confirmation the goods it is able to deliver. The seller is not liable for errors made by the buyer in the order. Partial deliveries are permitted.
V. Payment terms
The price binding on the seller and the buyer is the price stated by the seller in the order confirmation sent to the buyer. On delivery of the goods, the seller is obliged to issue and send the buyer an invoice that meets the requirements of a tax document. The seller is entitled to issue a pro forma invoice and to require an advance payment of up to 100% of the order value before delivery.
Invoices meeting the requirements of a tax document issued by the seller are due within 14 days of the invoice date. Pro forma invoices issued by the seller are due within 3 days of the date of issue. The due date of invoices and pro forma invoices issued by the seller is stated on the respective invoice.
VI. Recycling fee
The obligation to pay a recycling fee is laid down by Slovak Act No. 79/2015 Coll. on Waste and on Amendments to Certain Acts. The fee is set separately for light sources and for luminaires. The fee is EUR 0.08 excl. VAT per piece for light sources and EUR 0.40 excl. VAT per piece for luminaires.
VII. Price terms
Owing to changes in exchange rates, taxes and other charges beyond the seller’s control, the seller reserves the right to change prices and specifications without prior notice. The price binding on the seller and the buyer is the price stated by the seller in the order confirmation sent to the buyer.
VIII. Personal data protection
All data requested serve exclusively to fulfil the buyer’s order (order processing, delivery of goods), for the seller’s own marketing purposes and for subsequent communication with the buyer. All personal data are protected in accordance with the applicable legislation of the Slovak Republic, in particular Act No. 18/2018 Coll. on Personal Data Protection, as amended, and in accordance with the legislation of the European Union – Regulation (EU) 2016/679 of the European Parliament and of the Council.
